Terms of Service (ToS) for wav.arena

Eligibility for account registration is limited to individuals who are at least 18 years of age, or 13 years of age with verifiable parental consent in jurisdictions that permit such arrangements.

Users bear sole responsibility for the confidentiality of their login credentials, including usernames and passwords, and for all activities conducted under their accounts.

Unauthorized access, account sharing, or any attempt to circumvent security measures constitutes a material breach of these Terms and may result in immediate termination of services.

Users acknowledge and accept full liability for any misuse or unauthorized activity conducted under their account credentials, regardless of whether they personally initiated such actions.

Wav.arena reserves the unilateral right to suspend, restrict, or terminate any account found in violation of these provisions without prior notice.

Users retain ownership rights to all content they upload, transmit, or disseminate via wav.arena. However, by submitting content, users irrevocably grant wav.arena a perpetual, non-exclusive, royalty-free, sublicensable, and transferable worldwide license to use, store, display, reproduce, distribute, and modify said content for operational purposes.

Users affirmatively represent and warrant that they hold the requisite rights, licenses, or permissions to use, publish, and distribute any content uploaded.

Users expressly acknowledge that wav.arena is not liable for verifying the authenticity or ownership of uploaded content, and users assume full responsibility for any claims, disputes, or damages arising from intellectual property violations.

The following categories of content are strictly prohibited:

• •Material that infringes upon copyrights, trademarks, patents, or any other proprietary rights of third parties.
• •Unauthorized audio samples, stolen intellectual property, or unlicensed music.
• •Content that violates any applicable local, state, national, or international laws, or that promotes illegal, fraudulent, deceptive, or abusive conduct.

Wav.arena reserves the exclusive right to remove or restrict any content at its sole discretion, without prior notice, for any reason or no reason at all.

wav.arena uses third-party verification technology provided by IRCAM Amplify SAS ("IRCAM Amplify") to analyze uploaded audio content for potential AI-generated characteristics. This verification helps maintain fairness and transparency in battles by ensuring accurate disclosure of AI usage.

By uploading any track to wav.arena, you acknowledge and agree that:

• •Your audio file will be securely transmitted to and processed by IRCAM Amplify in accordance with their Terms and Conditions and Privacy Policy.
• •wav.arena acts as a data controller for your submission, and IRCAM Amplify acts as a data processor for the purpose of performing AI verification.
• •Processing is carried out under French and EU GDPR standards.
• •You must provide accurate disclosure of AI usage when uploading content, and verification results may be used to detect discrepancies with your disclosed labels.

AI Verification Disclaimer: AI detection results are probabilistic estimates based on algorithmic analysis and are provided "as-is" without warranty of accuracy. Detection technology may produce false positives or false negatives. We reserve the right to take reasonable actions (including content review, labeling corrections, or account restrictions) based on suspected misuse or repeated discrepancies. If you believe a verification result is incorrect, you may contact support at support@wavarena.com to request manual review. Final determinations regarding AI usage disclosure are made at wav.arena's discretion.

Wav.arena operates in strict compliance with the Digital Millennium Copyright Act (DMCA) and adheres to legal takedown procedures for content that is alleged to infringe upon copyright protections.

Users found to be repeat infringers will be subject to permanent account termination and forfeiture of access to all platform features.

Takedown Notice Requirements: Copyright owners may submit a formal DMCA takedown notice to the address above, which must include: (1) physical or electronic signature of the copyright owner or authorized agent, (2) identification of the copyrighted work claimed to be infringed, (3) identification of the infringing material and information sufficient to locate it, (4) contact information (address, phone, email), (5) a statement of good faith belief that use is not authorized, and (6) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.

Counter-Notification Process: If you believe content was removed in error, you may submit a counter-notification to the address above containing: (1) your physical or electronic signature, (2) identification of the removed content and its prior location, (3) a statement under penalty of perjury that removal was a mistake or misidentification, (4) your name, address, phone, and consent to jurisdiction in the federal district court where you reside (or where wav.arena is located if you are outside the U.S.), and (5) a statement that you will accept service of process from the person who filed the original takedown notice.

You agree to fully indemnify, defend, and hold harmless wav.arena, its officers, employees, affiliates, and agents from any claims, damages, liabilities, losses, expenses, and legal fees arising from:

• •Your uploaded content.
• •Any third-party claims regarding intellectual property violations or defamation.
• •Your breach of any representations, warranties, or obligations under these Terms.
• •Any legal, regulatory, or statutory violations attributable to your actions or omissions.
• •Any fraudulent, unauthorized, or malicious activity conducted through your account.

To the maximum extent permitted by law, wav.arena is provided "as is" and "as available", without any express or implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

Under no circumstances shall wav.arena be liable for:

• •Any direct, indirect, incidental, special, consequential, or punitive damages.
• •Loss of data, revenue, profits, goodwill, or anticipated earnings.
• •Unauthorized access, data breaches, or cyberattacks impacting user accounts or platform operations.
• •Wav.arena explicitly disclaims any liability for service interruptions, technical failures, or downtime, regardless of the cause.

The cumulative liability of wav.arena for any claims arising from or related to these Terms shall not exceed the total amount paid by the user, if any, in the preceding twelve (12) months.

Exclusions: Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, gross negligence, willful misconduct, or any other liability that cannot be excluded or limited under applicable law.

Governing Law: This agreement shall be governed and construed in accordance with the laws of the State of Florida, United States, without regard to conflicts of law principles.

Informal Resolution: Before initiating arbitration or litigation, you agree to contact us at support@wavarena.com to attempt informal resolution for at least 30 days.

Arbitration Agreement: Any disputes arising from these Terms shall be resolved exclusively through binding arbitration, conducted in accordance with the rules of the American Arbitration Association (AAA), except for:

• •Claims that may be brought in small claims court (where jurisdictionally appropriate and where the claim remains in small claims court);
• •Claims for injunctive or equitable relief relating to the enforcement or validity of your or wav.arena's intellectual property rights or unauthorized access to the platform;
• •Claims that cannot legally be subject to arbitration under applicable law.

Class Action Waiver: Users expressly waive their right to participate in any class-action lawsuits against wav.arena. Users acknowledge that any claims must be brought individually and not as part of a class, consolidated, or representative proceeding. The arbitrator may not consolidate claims or conduct class arbitration.

Opt-Out Right: You may opt out of this arbitration agreement by sending written notice to cj@wavarena.com within 30 days of account creation, stating "I opt out of the arbitration agreement" and including your username and email address. Opting out does not affect any other terms of this agreement.

International Users: This dispute resolution section applies primarily to users in the United States. Non-U.S. users may have mandatory consumer protection rights under local law that cannot be waived by this agreement, and such rights shall remain unaffected.

Your use of wav.arena is subject to the Privacy Policy, which delineates the collection, storage, processing, and sharing of user data.

Wav.arena reserves the right to suspend, limit, or permanently terminate user accounts at its sole discretion, with or without notice, for violations of these Terms or any applicable laws.

Users acknowledge that deleted accounts and their associated content may not be recoverable following termination.

Wav.arena reserves the right to modify, revise, or update these Terms to reflect changes in our services, legal requirements, or business practices.

Material Changes: For material changes (such as introducing new third-party services, changes to user rights or obligations, or modifications affecting dispute resolution), we will notify registered users via email within 30 days of the change taking effect.

Non-Material Changes: Minor updates, clarifications, or corrections will be posted here with an updated effective date without individual notification.

Continued use of the platform following any amendments shall constitute binding acceptance of the revised Terms. If you do not agree with the changes, you may discontinue use of wav.arena and terminate your account.
